Terms and Conditions

1. Services Provided

Design Squad Media agrees to provide the following services to the Client:
1.1 Website Design and Development: Custom website design and development as per the
specifications provided by the Client.
1.2 Website Hosting: Hosting services for the Client’s website on Design Squad Media’s
servers.
1.3 CRM Software (Lead Pro): Access to and use of the Lead Pro CRM software, including
setup, integration, and support.
1.4 Unlimited Website Edits: During the term of the agreement, Design Squad Media will
provide unlimited website edits for updating new photos and product announcements.
1.5 Product Uploads: Design Squad Media will upload products to the shopping cart only if
they are provided by the Client in .CSV format.
1.6 One-Time Setup Charge: A one-time setup cost of $500 applies to set up hosting, domain
name, Lead Pro software integration within the website, and project oversight with all of our
website packages, including the purchase or transfer of the Client’s domain name (with a 1-year
renewal on GoDaddy if needed).

2. Term and Termination

2.1 Term: This Agreement shall commence on [Start Date]_ and shall continue
for a period of twelve (12) months.
2.2 Opt-Out Period: The Client has seven (7) days from the date of signing this Agreement to
opt out for any reason without penalty.
2.3 Renewal: After the initial twelve (12) month period, this Agreement will automatically renew
on a month-to-month basis at the rate the Client originally signed up for, unless terminated by
either party with thirty (30) days’ written notice.
2.4 Rate Adjustment for Service Interruption: If the Client terminates the service and
subsequently wishes to restart, the Client will be charged at the current rates at the time of
restarting the service.
2.5 Termination for Convenience: Either party may terminate this Agreement upon thirty (30)
days’ written notice to the other party.
2.6 Termination for Cause: Either party may terminate this Agreement immediately if the other
party breaches any material term of this Agreement and fails to cure such breach within thirty
(30) days of receiving notice of the breach.

3. Fees and Payment

3.1 Fees: The Client agrees to pay Design Squad Media the following fees for the Services:
● Website Design and Development: Included in Service Package
● Website Hosting: Included in Service Package
● CRM Software (Lead Pro): Included in Service Package
● One-Time Setup Charge: $500
3.2 Payment Terms: Payments are due [Specify Payment Terms, e.g., upon receipt of invoice,
within 30 days of invoice date, etc.].
3.3 Late Payments: Any payment not received within thirty (30) days of the due date will incur a
late fee of $35.

4. Client Responsibilities

4.1 Content: The Client agrees to provide all content, including text, images, and other media,
required for the website in a timely manner.
4.2 Access: The Client agrees to provide Design Squad Media with access to all necessary
accounts and hosting services to perform the Services.
4.3 Product Data: The Client agrees to provide product data in .CSV format if product uploads
are required.

5. Intellectual Property

5.1 Ownership: The Client shall own all intellectual property rights in the website content
provided by the Client and the final website design and development work produced by Design
Squad Media fully after twelve (12) monthly payments of service, excluding any third-party
software or components used.
5.2 License: The Client grants Design Squad Media a non-exclusive, non-transferable license
to use the Client’s content solely for the purpose of providing the Services.

6. Confidentiality

6.1 Confidential Information: Both Parties agree to keep confidential any and all information,
whether written or oral, identified as confidential and disclosed to the other party in connection
with the performance of this Agreement.

7. Warranties and Disclaimers

7.1 Warranties: Design Squad Media warrants that the Services will be performed in a
professional and workmanlike manner.
7.2 Disclaimers: Design Squad Media does not warrant that the Services will be uninterrupted
or error-free. The Client acknowledges that Design Squad Media is not responsible for the
performance of any third-party services or products.

8. Limitation of Liability

Design Squad Media’s liability under this Agreement shall be limited to the amount paid by the
Client for the Services. In no event shall Design Squad Media be liable for any indirect,
incidental, special, or consequential damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of
Tennessee, without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties regarding the subject
matter hereof and supersedes all prior agreements, understandings, and representations.

Digital Signature

If you sign up for our website packages on designsquadmedia.com and have read the
terms and conditions, your IP address and credit card purchase will be considered your digital
signature of agreement to the terms outlined in this Service Agreement.
